Terms & Conditions for Gurindera Trading Company

1. Introduction

These Terms & Conditions (“Terms”) govern your use of Gurindera Trading Company’s website, services, and product purchases. By placing an order, visiting our site, or interacting with our team, you accept and agree to be bound by these Terms and all applicable laws.

2. Parties

• Seller / Company: Gurindera Trading Company, registered in [State, India].

• Buyer / Client: Any individual or business entity placing an order or requesting information from us.

3. Definitions

• “Products” = any chemicals, acids, powders, or industrial materials supplied.

• “Services” = any consulting, logistics support, or packaging assistance.

• “Agreement” = these Terms plus any quotation, invoice, purchase order, or confirmation.

4. Quotation & Acceptance

4.1 All quotations are subject to stock availability and may be revised.
4.2 Acceptance of a quote occurs when the Buyer issues a matching Purchase Order, and Gurindera issues a confirmation.
4.3 Any changes requested after confirmation (grade, quantity, packaging, or price) must be agreed in writing.

5. Pricing & Payment

5.1 Prices are listed in Indian Rupees and exclude GST or applicable taxes unless stated.
5.2 Payment terms: typically 100% advance or bank transfer before dispatch. For approved clients, 30-day credit may apply.
5.3 Late payment interest: 1.5% monthly or pro-rata for overdue balances.
5.4 Payments must be free of bank charges; client bears all transaction fees if applicable.

6. Delivery & Title

6.1 Delivery timelines are estimates (quoted in days or weeks). Delays do not entitle Buyer to refuse receipt or cancel without compensation.
6.2 Product title and risk transfer to Buyer upon dispatch (ex‑works or FCA port).
6.3 Buyer is responsible for unloading, customs clearance, and compliance at destination.
6.4 Partial shipments may occur; each batch is separately invoiced.

7. Inspection & Rejection

7.1 Buyer must inspect goods within 2 business days of receipt.
7.2 If the product is visibly damaged or incorrect, Buyer must notify Gurindera in writing within 5 days.
7.3 Acceptance is presumed unless written notice is received.
7.4 Only defects reported in compliance with 7.2 are eligible for return or replacement.

8. Returns & Refunds

8.1 Returns only accepted by written agreement. Unauthorised returns are not accepted.
8.2 Return charges (freight, repackaging, testing) are Buyer’s responsibility unless error by seller.
8.3 Refunds: once goods are returned, tested, and found defective, refund or replacement is issued.
8.4 Damaged due to improper storage, handling, or expiration will not be refunded.

9. Quality & Specifications

9.1 Gurindera provides products as per applicable COA and MSDS for each batch.
9.2 Minor variations in properties within ±5% of spec are acceptable.
9.3 If product fails to meet agreed spec, Gurindera shall replace it at no cost or issue credit.
9.4 Quality guarantees do not apply if Buyer alters product (e.g. dilutes, mixes, adds additives).

10. Warranty & Liability Cap

10.1 Seller warrants that products conform to spec, are free from known defects, and packed safely.
10.2 Except for such warranty, all implied warranties (merchantability, fitness for a particular purpose) are disclaimed.
10.3 Seller’s total liability is strictly limited to purchase price of affected goods.
10.4 Under no circumstances shall Gurindera be liable for consequential, incidental, or indirect damages—even if foreseeable.

11. Safety, Compliance & Use

11.1 Buyer must store and handle chemicals per MSDS and local safety regulations.
11.2 Buyer is responsible for obtaining any permits, licenses, or approvals required for use, transport, or storage.
11.3 Seller is not liable for misuse, improper handling, or regulatory violation by Buyer.
11.4 Buyer agrees to indemnify Gurindera against claims arising from misuse.

12. Force Majeure

12.1 Neither party is liable for delays caused by fire, flood, strike, pandemic, government action, transportation disruptions, or other uncontrollable events.
12.2 In such cases, performance will be suspended until event subsides.
12.3 If delay exceeds 60 days, either party may terminate by written notice.

13. Intellectual Property

13.1 All trade names, logos, and branding remain property of Gurindera Trading Company.
13.2 Buyer may not reproduce branding or claim affiliation without written consent.

14. Confidentiality

14.1 Both parties agree to keep private any non-public business information.
14.2 This clause survives termination of the Agreement.

15. Termination

15.1 Gurindera may suspend or terminate by written notice if Buyer breaches payment, safety, or contract provisions.
15.2 Buyer may cancel only with written consent and may be liable for cancellation fees, production or logistics costs incurred.

16. Privacy Policy & Data Use

16.1 By engaging with Gurindera, Buyer consents to personal data use per Privacy Policy.
16.2 Buyer waives claims regarding collection, processing, or retention as described therein.

17. Dispute Resolution & Governing Law

17.1 Any dispute shall first be discussed in good faith between parties.
17.2 If unresolved, disputes will be settled via arbitration in India (e.g., Mumbai arbitration tribunal).
17.3 Applicable law: Government of India statutes; courts of [State/City] have jurisdiction.

18. General Provisions

• 18.1 Entire agreement: these Terms, plus any PO, invoice, or written exception.

• 18.2 Severability: If any clause is invalid, the rest remains in force.

• 18.3 Assignment: Buyer may not assign rights without Gurindera’s written consent.

• 18.4 Waiver: Failure to enforce a term does not waive future rights under it.

• 18.5 Notices: Must be in writing, delivered via email or registered post.
